Terms of Use

These Terms of Use (Terms) form a binding legal agreement between you and the operator of DMarketplace (we, us, our) governing access to and use of our website, checkout, accounts, merchant onboarding, and related services (Services). By using the Services, you confirm that you have read and agree to these Terms, our Privacy Policy, and our Return Policy, each incorporated by reference. If you do not agree, do not access or use the Services.

Eligibility and authority

You must be at least the age of majority in your jurisdiction and capable of entering a binding contract. If you use the Services on behalf of a company, you represent that you have authority to bind that organisation and you accept these Terms on its behalf.

You are responsible for the accuracy of information you provide, for maintaining the confidentiality of credentials where applicable, and for all activity conducted through wallets or accounts you control or authorise.

We may refuse service, close accounts, or limit features for legal, risk, or policy reasons, including where we cannot complete required verification.

Nature of the Services

DMarketplace operates an online marketplace that enables discovery, listing, promotion, and checkout for goods and digital products sold by independent merchants. Unless expressly stated otherwise on a product page, merchants—not DMarketplace—are the sellers of record for their listings.

We may provide payment routing, messaging, analytics, fraud screening, and other tools to facilitate transactions. We are not a bank, custodian, or issuer of third-party gift cards; we do not take title to merchant inventory except where a specific programme explicitly says so.

We may modify, suspend, or discontinue features, impose maintenance windows, or change eligibility rules with reasonable notice where practicable. Certain changes may be required immediately for security or legal compliance.

Merchants, products, and third-party issuers

Merchants are responsible for the accuracy of listings, compliance with product safety and marketing laws, honouring stated fulfilment times, providing invoices where required, and delivering goods or digital codes as described.

Gift cards, vouchers, and similar closed-loop products are issued by third-party brands or financial institutions. Redemption, expiry, balance protection, and customer service for the underlying product are governed by the issuer’s terms. DMarketplace is a reseller or distributor only to the extent stated on the listing.

If a product is region-locked, you must purchase only offers intended for your country. Attempting to circumvent geo-controls or misrepresenting your location is a breach of these Terms and may void refund rights.

Orders, pricing, taxes, and availability

Listings may display promotional or reference prices in fiat or digital assets. Checkout will show the authorised charge or authorisation hold. Prices, discounts, and availability can change until you complete payment. Obvious pricing errors may be corrected and affected orders cancelled or re-priced with notice.

Taxes, duties, and import charges may be estimated at checkout but final liability may depend on local law and carrier practices. You agree to pay all amounts shown at checkout, including applicable fees disclosed before you confirm payment.

We may set purchase limits, velocity caps, or merchant-specific rules to manage risk, liquidity, or issuer requirements. Automated systems may delay or block suspicious orders even after payment authorisation, pending manual review.

Title and risk of loss for physical goods pass according to the incoterm or shipment terms stated on the listing or order confirmation, or otherwise when the carrier records delivery. Digital goods are deemed delivered when the code is made available in your account, email, or on-screen, unless applicable law requires otherwise.

Payments, digital assets, and wallets

Supported payment methods may include digital assets, card payments processed by partners, or other rails we enable from time to time. Network fees, FX spreads, or processor fees may apply and will be disclosed before you confirm payment where practicable.

You are solely responsible for selecting the correct asset, network, and destination address when sending crypto. Transactions sent to wrong addresses, wrong chains, or unsupported tokens may be irreversible; we are not liable for loss of funds resulting from user error or wallet software bugs.

You represent that funds used on DMarketplace are lawfully obtained and not the proceeds of crime. We may delay, cancel, or reverse transactions where required by law, issuer rules, or credible fraud indicators.

Chargebacks, payment disputes, or blockchain reorganisations may affect settlement. You agree to cooperate with investigations and provide truthful information. Where a payment is reversed, we may cancel related orders or offset amounts against future balances as permitted by law.

Cancellations, returns, and refunds

Return windows, refund methods, and exclusions for digital goods are described in our Return Policy and on individual listings. Statutory consumer rights in your country may provide additional remedies that these Terms do not override.

Refunds, when approved, will be credited using the original payment path where technically possible; otherwise we may propose store credit or an alternative reasonable method. Blockchain confirmation times may delay visibility of returned funds.

Acceptable use and prohibited conduct

You may not use the Services to violate law, infringe intellectual property, distribute malware, harass others, manipulate markets, conduct wash trading, launder money, finance terrorism, evade sanctions, or sell prohibited goods (including stolen property, counterfeit goods, or items requiring a licence you do not hold).

You may not scrape or overload our systems, bypass authentication, probe vulnerabilities without authorisation, resell access to the Services, or misrepresent your identity. We may monitor usage patterns, retain forensic logs, and cooperate with law enforcement for credible threats.

Merchants may not list deceptive offers, bait-and-switch inventory, or products that violate export controls. Buyers may not abuse promotions, return policies, or support channels. We may impose fees, withhold payouts, or terminate accounts for breaches.

Sanctions, export controls, and restricted users

You represent that you, and any person you act for, are not designated on any governmental sanctions or denied-party list and are not located in, ordinarily resident in, or organised under the laws of a comprehensively sanctioned jurisdiction, except as authorised by applicable licences.

You must comply with export, import, and customs laws relating to products you buy or sell. Certain electronics, cryptography, or dual-use goods may require licences; lack of a licence is grounds to cancel an order.

Intellectual property and licence to operate

DMarketplace names, logos, interfaces, and content we create are protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access the Services for personal or internal business shopping and lawful merchant selling.

You grant us a worldwide licence to host, display, and distribute content you upload (for example product images or descriptions) for the purpose of operating and promoting the marketplace. You warrant you have rights to that content and that it does not infringe third-party rights.

Third-party services and links

The Services may integrate wallets, analytics, maps, or payment widgets operated by third parties. Their terms and privacy policies apply to your use of those features. We are not liable for outages, fees, or losses caused by third-party systems outside our reasonable control.

Blockchain networks are decentralised third-party environments. We do not control miners, validators, RPC providers, or smart contracts deployed by others. Features that rely on those networks may fail or behave unexpectedly.

Disclaimers

EXCEPT WHERE PROHIBITED BY LAW, THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted or error-free operation, that defects will be corrected, or that the Services or servers are free of viruses. We do not guarantee the value, redeemability, or performance of any digital asset or gift card.

You acknowledge risks inherent to blockchain systems, including irreversible transactions, smart contract bugs, network congestion, regulatory changes, and loss of private keys. You should evaluate these risks carefully before transacting.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DMARKETPLACE, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN FEES FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT, OR (B) ONE HUNDRED EUROS (€100) IF NO SUCH FEES APPLY, UNLESS MANDATORY LAW REQUIRES OTHERWISE.

Indemnity

You will defend, indemnify, and hold harmless DMarketplace and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms or applicable law; (c) your products or content if you are a merchant; or (d) disputes between you and another user, except to the extent caused by our wilful misconduct.

Governing law and disputes

Unless mandatory consumer law in your country requires otherwise, these Terms are governed by the laws of the jurisdiction where the DMarketplace operating entity is established, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive jurisdiction over disputes, except that we may seek injunctive relief in any competent court.

Before filing a claim, you agree to contact us via @dMarketplaceSupportBot on Telegram and attempt good-faith informal resolution for at least thirty (30) days. If you reside in the European Union you may also use the European Commission’s online dispute resolution platform where applicable.

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms constitute the entire agreement regarding the Services and supersede prior oral or written understandings on the same subject.

Changes to these Terms

We may update these Terms to reflect new features, legal requirements, or risk practices. We will post the revised Terms with an updated effective date. Where changes are material and we have your email, we may send notice. Continued use after the effective date constitutes acceptance except where applicable law requires explicit consent.
